Terms of Service — BizPlanner

Note: This is an English translation provided for convenience only. In case of any conflict or discrepancy between this English version and the Hebrew version, the Hebrew version shall prevail and be the binding legal document.
1. General
BizPlanner ("we", "our", "us") thanks you for choosing to use the website operated at biz-planner.com (the "Site") and the services provided through it (the "Services").
BizPlanner is a cloud-based business planning system that combines an interactive financial simulator with an AI-powered business assistant. The system enables financial forecasting, business scenario analysis, AI-driven recommendations, and professional report generation.

Use of the Site and Services is subject to the terms detailed in these Terms of Service (the "Terms"). Please read the Terms carefully, as using the Site and performing actions on it indicate your agreement to the terms contained herein. We reserve the right to change the Terms from time to time, at our sole discretion. In the event of a material change, we will notify users by posting a notice on the Site and/or sending an email notification. Changes will take effect 30 days after publication, unless otherwise stated.
These Terms apply equally to all genders, and the use of masculine or feminine language is for convenience only.
The Terms apply to use of the Site and Services via any computer or communications device (such as mobile phones, tablets, etc.). They also apply to use of the Site whether via the internet or any other network or communications medium.
Use of the Site and Services is permitted from age 18 and above. Users under age 18 may only use the Site with the consent and supervision of a parent or guardian.
If any provision of these Terms is determined to be unenforceable or invalid for any reason, this shall not affect or prejudice the legality, validity, and enforceability of the remaining provisions of the Terms.
2. Description of Services
BizPlanner offers the following services:
2.1 Interactive Financial Simulator
A tool for building business financial forecasts, including 4 dedicated calculation engines for different business types: physical product, service, SaaS/subscriptions, and restaurant. The simulator allows input of financial data, viewing profit & loss projections, charts, and business metrics.
2.2 AI-Powered Business Assistant
An AI tool for analyzing financial data, obtaining business insights, creating scenarios, and Q&A in natural language. The AI is provided by a third-party AI service provider.
2.3 Project Management
Ability to save up to 5 business projects (for free users) or more (for Plus and Consultant subscribers).
2.4 Advanced Features (Pro)
What-If scenarios, version history, project sharing with other users, data export (CSV, Excel, AI export), and AI-powered change suggestions.
2.5 Professional Reports (Pro)
Bank report and investor report, generated by AI based on user data, in Hebrew or English, with PDF export capability.
3. Registration and Use of Services
3.1 Account Creation
To use services that require authentication (saving projects, AI, payments), you must register and open a personal account on the Site.
During registration, the user will be asked to enter details such as full name and email address. Registration is also possible via Google or Apple account. Please note that there is no legal obligation to provide information; however, failure to enter the requested details or provision of incorrect details may prevent access to the Services.
The user is obligated to provide correct, current, accurate, and complete details during registration and/or use of the Site. Attempting to impersonate a user or another person, or to use another user's username and/or password, constitutes a violation of these Terms. If necessary, in case of changed details, they must be updated on the Site or by contacting us.
After registration, the user will receive access to their personal account, through which they can use the Services.
By registering and using the Services, you agree to keep your password confidential, and you confirm that: (1) your account is personal; (2) you will be solely responsible for any action or use made from your account; (3) you will not allow others access to your account.
3.2 Express Consent During Registration
During registration, the user will be asked to confirm consent to the Terms of Service and Privacy Policy. Additionally, when the user first uses AI features, they will be asked to provide separate consent for the transfer of financial data for processing by the AI service provider. This consent is necessary as financial data is defined as sensitive information under Amendment 13 to the Privacy Protection Law. Without this consent, AI features cannot be used.
3.3 Account Types
BizPlanner offers the following accounts:
Free Account:
- Up to 5 projects
- Full access to financial simulator
- 3 AI chat messages per project
- No access to professional reports
- No AI project creation
Plus (monthly or yearly subscription):
- $5.99/month or $57.50/year (20% discount)
- Unlimited projects
- Project sharing
- 3 AI messages per project (same as free)
- Does not include per-project Pro features (What-If, Insights, AI Chat 50 messages, reports)
Pro Project (per-project upgrade):
- One-time purchase for a specific project ($24.99)
- 50 AI messages + option to purchase 50 more ($12.99)
- Unlimited What-If scenarios
- Version history (up to 20)
- Project sharing with up to 10 viewers
- Data export (CSV, Excel, AI export)
- 1 free bank report + 1 free investor report
- Additional bank or investor reports: $9.99 each
Consultant (monthly or yearly subscription):
- $39.99/month or $383.90/year (20% discount)
- Unlimited projects with project sharing, client management, templates, and branding
- 30% discount on Pro project upgrades ($17.49 per project instead of $24.99)
- Upon subscription cancellation, Pro projects created during the subscription retain Pro status permanently
Individual Products (available to all users):
- AI Chat Bundle: $12.99 (50 additional AI messages for a specific project)
- Bank Report: $9.99 per report
- Investor Report: $9.99 per report
4. Payment Terms and Pricing
4.1 Prices
The prices detailed below are website prices.
One-Time Purchases:
- Pro Project upgrade: $24.99 (including VAT)
- AI Chat Bundle (50 additional AI messages): $12.99 (including VAT)
- Bank Report: $9.99 (including VAT)
- Investor Report: $9.99 (including VAT)
Monthly Subscriptions:
- Plus: $5.99/month (including VAT)
- Consultant: $39.99/month (including VAT)
Annual Subscriptions (20% discount):
- Plus Yearly: $57.50/year (including VAT)
- Consultant Yearly: $383.90/year (including VAT)
Currency: Prices on the English version of the Site are displayed in US Dollars (USD). Prices on the Hebrew version of the Site are displayed in Israeli New Shekels (ILS). All prices include Israeli VAT as required by law. The actual charge will be processed in the currency displayed on the payment page.
The service provider reserves the right to change prices from time to time, at its sole discretion. Price changes will be published on the Site and will apply to new purchases only. Purchases already made will not be affected by price changes.
4.2 Pre-Purchase Disclosure
In accordance with the Consumer Protection Law, 5741-1981, sections 14c-14e, before any purchase on the Site, the user will be presented with complete information including:

- Full description of the product or service being purchased
- Price including VAT
- Payment method: Credit card via licensed payment processor
- Delivery terms and timing: Immediate access upon payment confirmation

Before making any payment, the user will be required to confirm by checkbox that they have read and agreed to the Terms of Service and the cancellation policy. The purchase confirmation screen also includes a notice that consuming digital content (AI messages, data export, report downloads) cancels the right to a refund, with a link to the full cancellation policy.
4.3 Payment Methods
Payment on the Site is made through a licensed Israeli payment processor. The user is redirected to a secure payment page to enter credit card details. BizPlanner does not store or process credit card information.
In addition to the provisions of these Terms, the payment processor's terms and conditions will also apply. We reserve the right to establish other payment arrangements, all at our sole discretion.
If, for any reason, the credit card company refuses to transfer the payment amount, we will be entitled to immediately suspend or terminate the provision of service. If we are forced to take legal action to collect payment arrears, the user undertakes to indemnify us for all expenses incurred, including attorney's fees and additional legal costs.
4.4 Tax Invoices and Receipts
In accordance with VAT Law and Income Tax Ordinance, BizPlanner issues a tax invoice and receipt for every transaction made on the Site. The invoice will be sent by email after payment confirmation.
Invoices and tax documents are retained for 7 years as required by law.
4.5 Refunds for Technical Failures or Double Charges
In case of a technical malfunction, double charge, or any other issue not related to product use, please contact us at support@biz-planner.com and we will work to resolve the issue and provide a full refund if necessary.
5. Cancellation and Refund Policy
The cancellation and refund policy is detailed in a separate document available on the Site. Below are the policy highlights:
5.1 One-Time Purchases (Pro Project, AI Chat Bundle, Bank Report, Investor Report)
In accordance with the Consumer Protection Law, 5741-1981, sections 14c-14e:
- Pro Project ($24.99): Cancellation is possible within 14 calendar days only if no digital content was consumed (AI messages, data export, report downloads). If any digital content was consumed — refund is not possible. There are no partial refunds.
- AI Chat Bundle ($12.99): Not refundable. AI chat messages are digital content delivered immediately upon purchase.
- Bank Report ($9.99): Not refundable once the document has been downloaded or viewed.
- Investor Report ($9.99): Not refundable once the document has been downloaded or viewed.
- No cancellation fee: We do not charge a cancellation fee.
- Refund: The refund will be made within 14 business days from the cancellation approval date, using the same payment method used for the purchase.
Protected populations: New immigrants (up to 5 years from arrival in Israel), seniors (over age 65), recently discharged soldiers (up to 24 months from discharge), and people with disabilities are entitled to a cancellation period of 4 months from the purchase date, in accordance with the Consumer Protection Law. Protected populations are entitled to a full refund even if digital content was consumed, upon submission of proof of protected status.
Purchase confirmation notice: The purchase confirmation screen includes a notice that consuming digital content cancels the right to a refund, with a link to the full cancellation policy.
5.2 Plus and Consultant Monthly Subscriptions
- Cancel anytime: Monthly subscriptions can be cancelled at any time, without cancellation fees.
- Validity: After cancellation, the subscription will remain active until the end of the current billing period. No further charges will be made.
- Pro status retention (Consultant): All Pro project upgrades made during the Consultant subscription period will retain Pro status permanently, even after subscription cancellation.
- No prorated refund: No prorated refund will be given for unused days in the current billing period.
5.3 Annual Subscriptions (Plus Yearly, Consultant Yearly)
- Billed once per year: Annual subscriptions are charged as a single annual payment.
- Auto-renewal notice: We will send an email notification 30 days before the annual subscription renews, reminding you of the upcoming charge and the amount.
- No refund after billing: Once the annual billing period has begun, the annual payment is non-refundable. Access continues until the end of the paid year.
- Cancellation: You may cancel an annual subscription at any time; access will continue until the end of the paid year, and no further charges will be made.
- Protected populations exception: Members of protected populations who purchased an annual subscription may cancel within 4 months and receive a prorated refund even if the service was used, subject to applicable law.
5.4 Plan Switching Policy
- Upgrading (Plus to Consultant): The price change takes effect on the next billing cycle. Consultant features activate only after the first successful Consultant charge.
- Downgrading (Consultant to Plus): The change takes effect on the next billing cycle. Full Consultant features remain until the end of the current paid period. The Consultant 30% Pro discount remains active until the current Consultant billing period ends.
- Pro projects: Pro projects created during any Consultant period retain Pro status permanently, regardless of plan changes.
5.5 How to Request Cancellation
Cancellation requests should be submitted by email to support@biz-planner.com with the following details: full name, email address, order number (if available), and reason for cancellation.
6. Service Liability and Limitation of Liability
6.1 The Service Does Not Constitute Professional Advice
It is important to understand:

BizPlanner is an information tool only. The information presented on the Site, in the simulator, in reports, or in AI-generated content should not be construed as a guarantee of any result, professional financial advice, professional business advice, legal advice, or tax advice.

AI is not a licensed advisor. The AI-powered business assistant is a data analysis tool only. It does not replace the professional judgment of an accountant, lawyer, economist, or financial/business consultant. All information provided by the AI is information for convenience only and does not replace judgment and professional advice from experts and professionals such as: accountant, lawyer, economist, financial/business consultant, etc.

User responsibility. Any business, financial, or legal decision made by the user is their sole responsibility. We strongly recommend consulting with licensed experts (accountant, lawyer, business consultant) before making significant decisions.

AI can make mistakes. Content generated by artificial intelligence may contain errors, inaccuracies, or omissions. There is no guarantee of accuracy, completeness, or suitability to the user's personal situation. AI does not take personal circumstances into account and cannot guarantee any particular business outcome.
6.2 Data and Results Accuracy
Financial calculations in the simulator are based on data entered by the user. We are not responsible for the accuracy or completeness of data entered by the user. Results, forecasts, and analyses presented on the Site are estimates only and do not constitute a commitment or guarantee of any particular business outcome.
Information entered into the system and reports and data generated by the system are the user's sole responsibility. Any action taken in the system is the user's sole responsibility, and sole liability for any damage (God forbid), of any kind, shall be the user's sole responsibility.
The company cannot verify that use of its services was performed correctly by the user in accordance with usage instructions and that appropriate precautions were taken.
6.3 General Limitation of Liability
The user may not bring complaints, demands, claims, or lawsuits against BizPlanner regarding damages, expenses, and losses incurred as a result of reliance on the Site and information appearing in/from it.
BizPlanner, its managers, employees, or anyone on its behalf shall not be liable for any damage, direct or indirect, loss, expense, lost profit, or financial loss that may be caused (if caused) to the user as a result of using the Site and Services, relying on information appearing on the Site, or as a result of business decisions made by the user based on the information, even if we warned, recommended, or advised on a particular matter or service, and under no circumstances shall we serve as a substitute for or bear the user's responsibility.
The user bears responsibility and all risk for damage that may be caused to them or third parties, arising from use and/or non-use of the system and/or Site services.
Financial liability cap: In any case, and for caution's sake, BizPlanner's total financial liability, including tort, contractual, or other liability, with respect to fulfilling its obligations and providing services, shall not exceed the amount of payment actually paid by the user for the specific service that caused the damage in the 12-month period preceding the event.
6.4 Service Disruptions and Outages
Service provision will be subject to our sole discretion. We will not be responsible for any delay, postponement, or non-provision of service resulting from force majeure, technical malfunctions, communication problems, or events beyond our control.
We do not commit that Site services will be provided without interruptions, as scheduled, securely and without errors, or that they will be immune to unauthorized access, damage, malfunctions, failures, or defects — in hardware, software, communication lines and systems.
6.5 Data Backup Responsibility
Responsibility for backing up data entered into the system lies with the user. During system use and/or in case of service termination, data may be deleted. We strive to store data securely, but we recommend users export and back up their data independently.
The user will have no claim or lawsuit against us regarding information or content that was not saved or was deleted.
6.6 Service "As Is"
The Site and Services in their entirety, including all information appearing on them, are offered to the public as is ("AS IS"). Content will be as accurate and correct as possible; however, information may be incomplete or there may be technical or other errors in the information.
Services cannot be adapted to each individual's needs. The user will have no claim, lawsuit, or demand against us regarding features of the Services, their capabilities, limitations, and/or suitability to their needs.
Use of the Site and Services will be at each user's sole and exclusive responsibility. Any decision made regarding content published on the Site is the user's sole responsibility.
7. Use of Artificial Intelligence (AI)
7.1 Data Transfer to AI Provider
When the user uses AI features (chat, project creation, scenario generation, reports), financial data only from the project is sent to a third-party AI service provider based in the United States.
What is sent:
- Revenue and expense data from the simulator
- Chat message content with the AI
- Project content (description, categories, numbers)
What is NOT sent:
- User name
- Email address
- IP address
- Other personal information
7.2 AI Provider's Data Usage Policy
The AI provider does not use data sent through the commercial API for model training. For more details, see our Privacy Policy.
7.3 Express Consent
During registration or first AI use, the user is asked to provide express consent for the transfer of financial data for processing by artificial intelligence. This consent is necessary because financial data is defined as sensitive information under Amendment 13 to the Privacy Protection Law. Without this consent, AI features cannot be used.
7.4 AI Usage Limits
- Free user: 3 AI chat messages per project only. No AI project creation.
- Plus subscriber: 3 AI chat messages per project (same as free). Unlimited projects.
- Pro user: 50 chat messages per project + ability to create 3 scenarios via AI + change suggestions. Can purchase 50 additional messages for $12.99 (AI Chat Bundle).
- Consultant subscriber: 30% discount on Pro upgrades ($17.49 per project).
- Rate limit: 5 messages per minute per user, to prevent abuse.
- Daily spending limit: Circuit breaker system limits daily cost per user.
7.5 AI Fair Use Policy
Use of AI for the following purposes is prohibited:
- Attempts to bypass the credit system
- Questions unrelated to business planning (requests for code writing, poetry, jokes, etc.)
- Spam, prompt injection, or attempts to make the AI reveal internal information or system instructions
- Commercial use or direct competition
- Creating multiple accounts to bypass credit limits
Security measures are in place to block messages unrelated to business planning. In case of fair use policy violation, we may suspend or terminate AI access without refund.
8. Intellectual Property
8.1 System Ownership
All copyrights and intellectual property rights in the Site, simulator, design, code, and content created by us are owned by BizPlanner alone, or by a third party that authorized us to use such content according to law.
It is prohibited to copy, distribute, publicly display, publicly perform, transmit to the public, modify, adapt, create derivative works, sell or rent any part of the Site or Services, whether directly or through or in cooperation with a third party, in any way or means, without obtaining written consent in advance.
8.2 User Data Ownership
The user owns all data they enter into the system. This includes:
- Financial simulator data
- Project content
- AI chat message content
We will not use this data for commercial purposes and will not transfer it to third parties, except as required for providing the Services (e.g., transferring financial data to the AI provider for AI operation, as detailed in the Privacy Policy).
8.3 AI-Generated Content Ownership
Content generated by AI (chat responses, reports, recommendations, scenarios) is considered part of the Services we provide. The user may use this content for their personal and business purposes, including presenting it to banks, investors, or third parties, but does not have exclusive ownership of the content.
8.4 Usage License
We grant the user a limited, non-exclusive, non-transferable license for personal and business use of the Services. This license does not include the right to reproduce, distribute, or commercially use the Site or its code.
9. Acceptable Use and Prohibited Activities
9.1 Permitted Use
Use of the Site and Services is permitted for legitimate personal and business purposes only (including business purchase of services).
9.2 Prohibited Activities
The following actions are prohibited:
- Using the Site for illegal purposes or violating third-party rights
- Attempting to directly compete with the Site or create a similar service based on the Site
- Operating computer applications or any other means, including Crawlers, Robots software, etc., for searching, scanning, copying, or automatically retrieving content from the Site
- Attempting to hack the system, bypass security mechanisms, or access other users' information
- Uploading malicious content, viruses, or harmful code
- Misusing AI features (see section 7.5)
- Sharing account with other users (each account is personal)
- Creating multiple accounts to bypass free account limitations
- Linking to Site content without express permission
- Displaying Site content in any way that alters its design or removes content
9.3 Sanctions and Indemnification
In case of Terms violation, we may:
- Suspend or close the user account without prior notice
- Delete content violating the Terms
- Block Site access
- Take legal action if necessary
In case of account closure due to violation, no refund will be given.
The user must indemnify us, our employees, managers, business partners, or anyone on our behalf for any damage, loss, lost profit, payment, or expense caused to them — including attorney's fees and legal costs — due to Terms violation. Additionally, the user will indemnify us for any claim, lawsuit, and/or demand raised against us by any third party as a result of content submitted by them for publication on the Site and as a result of actions performed on the Site.
10. Project Sharing
10.1 Sharing Feature (Pro)
Users with a Pro project can share the project with up to 10 other users (viewers). Sharing is done by sending an email invitation to the selected users.
10.2 Viewer Permissions
Users with whom a project is shared (viewers) can:
- View project data
- View charts, reports, and results
- View scenarios and version history
These users cannot:
- Edit the project
- Delete the project
- Use the owner's AI credits
10.3 Shared Information Responsibility
The user sharing a project bears full responsibility for the information they share and the viewers they invite. We will not be liable for misuse of shared information by viewers.
10.4 Canceling Sharing
The project owner may revoke a viewer's access at any time through the project control panel.
11. Account Termination and Data Deletion
11.1 Account Termination by User
The user may close their account at any time through Site settings or by contacting us by email.
Upon account closure:
- All projects and data will be deleted after 7 days
- Access to Services will be immediately terminated
- Active subscriptions (Plus, Consultant) will be cancelled and no longer charged
11.2 Account Termination by Us
We may close a user account in any of the following cases:
- Violation of these Terms
- Service misuse
- Illegal or harmful activity
- Attempts to harm the Site or other users
- Intentionally providing false information during Site purchase
In such cases, no refund will be given for purchases or subscriptions.
11.3 Data Deletion
After account closure, all data will be deleted after 7 days. We cannot recover data after final deletion. We recommend users export their data before closing the account using the export feature (available to Pro users).
12. Mailing and Communications
12.1 Transactional Emails
We will send users transactional emails (purchase confirmation, sharing invitation, password reset, important account or service updates) without requiring separate consent. These emails are necessary for service provision and are exempt from spam laws.
12.2 Marketing Emails
Marketing emails (promotions, news, product updates) will only be sent to users who have provided express consent (opt-in) during registration or in account settings. This mailing consent constitutes the user's consent to receive advertising communications in accordance with Amendment 40 to the Communications Law (Telecommunications and Broadcasting), 5768-2008.
Site purchase, subject to user consent, includes, among other things, receiving marketing content, information regarding promotions, updates, and discounts offered to registered users.
12.3 Removal Right
The user has the right to remove themselves from the mailing list at any time by:
- Clicking "unsubscribe" at the bottom of any marketing email
- Changing settings in the personal account
- Contacting us by email
As long as the user has not removed themselves from the mailing list, we may, subject to the Communications Law, send them direct mail.
12.4 Amendment 40 to the Communications Law and CAN-SPAM
We operate in accordance with Amendment 40 to the Communications Law (Telecommunications and Broadcasting), 5768-2008 (Israeli Spam Law) and the American CAN-SPAM Act.
Every marketing email will include:
- Clear sender identification
- Physical business address (per CAN-SPAM requirements)
- Clear and functional removal option
- Non-misleading subject line
Information in mailings should not be construed as a guarantee of any result and/or responsibility for the service offered in it.
13. Changes to Terms of Service
We may change these Terms from time to time, at our sole discretion. In case of material change, we will notify users by:
- Publishing a prominent notice on the Site
- Sending an email notification (to registered users)
Changes will take effect 30 days after publication, unless otherwise stated. Continued use of the Site after changes take effect constitutes agreement to the changes.
If the user does not agree to the changes, they must stop using the Site and close their account before the changes take effect.
14. International User Rights
14.1 GDPR (European Union Citizens)
Users from the European Union are entitled to the following rights under GDPR (Regulation EU 2016/679):
- Right of access to personal information
- Right to rectification of incorrect information
- Right to erasure ("right to be forgotten")
- Right to restriction of processing
- Right to object to processing
- Right to data portability

14.2 CCPA (California Residents)
When we reach the required threshold (over $26.6M annual revenue or 100,000+ California residents), California residents will be entitled to CCPA rights, including:
- Right to know what information is collected
- Right to deletion of personal information
- Right to opt-out of information sale (we do not sell personal information)
15. Jurisdiction and Governing Law
15.1 Governing Law
These Terms shall be governed exclusively by the laws of the State of Israel, but without application of its international choice of law rules.
15.2 Jurisdiction
The courts of Tel Aviv-Jaffa shall have exclusive jurisdiction over any matter arising from and/or related to these Terms or use of the Site.
16. General
16.1 Entire Agreement
These Terms constitute the entire and comprehensive agreement between BizPlanner and the user regarding the matters herein. They replace and cancel all representations, agreements, negotiations, practices, memoranda of understanding, proposals, meeting summaries, letters of intent, and/or commitments that prevailed, were signed, or exchanged (whether in writing or orally) on the said matters, between the parties, prior to these Terms.
16.2 Amendments and Modifications
Any change, amendment or addition, waiver, extension, discount, or non-exercise of rights under these Terms shall be valid only if made in an express document signed by us, and shall apply only to the case specified in said document and shall not derogate from other rights.
No conduct on our part shall be considered a waiver of our rights under these Terms or any law, unless the waiver is made expressly and in writing.
16.3 Force Majeure
We will not be liable for any delay or failure to fulfill obligations arising from force majeure, including: war, natural disaster, strike, communication failures, cyber attacks, or any event beyond our control.
16.4 Severability
If any provision of these Terms is determined to be invalid or unenforceable, the validity of the remaining provisions shall not be affected.
